1. Definitions

Unless stated otherwise, the following terms have these meanings:

(a) “Platform” means the website www.usedsparepart.com and the related mobile applications.

(b) “Company”, “we”, “us”, “our” means Used Spare Part Trading LLC (or replace with your registered entity), operating the Platform in the UAE.

(c) “Seller”, “you”, “your” means any registered individual or business listing, offering, or selling products through the Platform.

(d) “Products” means used, refurbished, or new automotive spare parts listed by Sellers on the Platform.

(e) “Customer” means the end buyer purchasing Products from the Seller through the Platform.

(f) “Defective Products” means products that are damaged, unfit for use, counterfeit, mislabeled, or not as described by the Seller.

(g) “Counterfeit Products” means items falsely branded, copied, or misrepresented as genuine manufacturer parts.

(h) “Fees” means commissions, service fees, payment processing fees and any other charges applicable to sellers under the Platform’s policies.

(i) “Seller Account” means the account created by the Seller to upload products and manage orders.

(j) “Personal Data” means customer or seller information such as name, phone number, address, etc.

(k) “Required Documents” means Emirates ID (for individuals), trade license (for companies), bank details, and any documents the Company requests to verify legal eligibility.

(l) “Net Sales Proceeds” means the amount payable to the Seller after deducting commissions and fees.

(m) “Applicable Laws” means UAE laws relating to e-commerce, consumer protection, taxation, and commercial trading.

(n) “Your Materials” means descriptions, photos, intellectual property, or trademarks uploaded by you to the Platform.

1.2 Interpretation

(a) Words such as “including”, “such as”, or similar terms are illustrative and not limiting.
(b) “Writing” includes email and electronic communication through the Platform.

2. Eligibility & Enrollment

2.1 To register as a Seller, you must:

  • be able to enter legally binding contracts under UAE law;
  • hold a valid Emirates ID (individual sellers) or a UAE trade license (business sellers);
  • provide accurate seller information, bank details, and any other required documentation;
  • comply with UAE commercial and e-commerce regulations.

2.2 You must submit all Required Documents during Seller Account registration and update them whenever changes occur.

2.3 We may suspend or reject your registration if:

  • documents are incomplete, inaccurate, or expired;
  • your activities violate UAE laws;
  • you engage in listing prohibited or unsafe automotive parts;
  • we suspect misuse, fraud, or policy violations.

3. Services Provided to Sellers

3.1 The Platform provides sellers with:

  • online marketplace access;
  • order management tools;
  • customer communication system;
  • secure payment collection on your behalf;
  • settlement of Net Sales Proceeds;
  • optional marketing support.

3.2 We reserve the right to:

  • approve, reject, or remove any product listing;
  • request additional product information or proof of authenticity;
  • suspend or terminate your Seller Account for policy or legal violations.

3.3 We may monitor Seller performance based on:

  • customer complaints and negative ratings;
  • order cancellations;
  • delivery delays;
  • listing of prohibited or counterfeit spare parts;
  • misrepresentation of product condition;
  • selling defective, unsafe, or incompatible automotive parts.
  • 3.4 We shall monitor your performance on the key metrics including (a) returns; (b) cancellation; (c) negative feedback of products from end customers; (d) order processing speed; (e) Defective Products or illegal/ non-compliant products; and (f) sales performance. In case of any unsatisfactory performance on above metrics, we may issue warnings to you and have the right to suspend or block the Seller Account without notice and without liability. Additionally, we reserve the right to charge any additional fees and/or penalty (including circumstantial fees) at our discretion and in accordance with noon Program Policies.

 3.5 Special Sales Models (Not Applicable)

UsedSparePart.com does not operate warehouse storage, Supermall, or dark store models.
All sellers remain fully responsible for storing, packing, and shipping their own products.

3.6 UAE-Only Sales

UsedSparePart.com currently supports sales within the United Arab Emirates only.
Cross-border or international shipping is not supported.

4. Seller Obligations

4.1 You agree to the following obligations:

Product Information & Listing

(a) Provide accurate product details including part numbers, compatibility, condition (used/new/refurbished), images, and specifications.
(b) Ensure all listings comply with UAE laws and UsedSparePart.com guidelines.
(c) Keep product information updated in real time (stock, price, availability).
(d) Clearly state product condition (Used / New / Refurbished) and avoid misleading descriptions.

Packaging & Delivery

(e) Properly package and protect spare parts to avoid damage during delivery.
(f) Obtain any required documentation for used parts if applicable (e.g., compressor oil drain, hazardous materials, etc.).
(g) Deliver products on time and comply with UsedSparePart.com shipping and return policies.
(h) Arrange pick-up for returned or rejected products when required.

Returns, Defects & Recalls

(i) Accept returns when customers are entitled to them under UAE Consumer Protection Law.
(j) Replace or refund defective products.
(k) Do not offer any recalled, dangerous, or counterfeit automotive parts.
(l) Immediately inform us if any product is unsafe, has defects, or may cause harm.
(m) Comply with UAE laws regarding reporting defective or dangerous automotive parts.
(n) Maintain records of defective, returned, or hazardous parts.

4.2 Order Acceptance

Once you accept an order, you cannot cancel it because of:

    • stock issues,
    • pricing mistakes,
    • or unavailability.

You are responsible for any costs arising from cancellations.

4.3 Additional Terms

(a) We may, at our discretion, act as a facilitator of the transaction between you and the buyer.
(b) You retain ownership of the products until delivered to the customer.
(c) You invoice the customer directly; UsedSparePart.com provides digital copies on your behalf.
(d) We may remove hazardous or counterfeit items at any time.

4.4 Invoice & Documentation

We may issue invoices or credit notes electronically on your behalf where required for VAT compliance.

4.5 Pricing

You are solely responsible for setting your product prices. We do not operate a pricing engine tool.

4.6 Legal Responsibility

You confirm that:
(a) You have legal rights to sell the product.
(b) The product is genuine, not counterfeit.
(c) The product meets UAE safety standards.
(d) You will not sell defective, dangerous, or illegal parts.

4.7 Account Security

You are responsible for protecting your login credentials. Any activity done under your account is your responsibility.

5. Fees & Payments

5.1 Fees include:

    • listing commissions,
    • transaction fees,
    • payment gateway fees,
    • return fees (if applicable),
    • penalties for policy violations.

5.2 You authorize us to verify seller information when needed.

5.3 You may access sales reports through your Seller Dashboard.

5.4 Net Sales Proceeds will be transferred to your UAE bank account as per our payout schedule.
You are responsible for providing correct bank details.

5.5 We may create accounts on third-party payment processors to enable payouts.

5.6 Discounting of products (if offered) will be shown on the invoice.

5.7 Fraudulent or illegal seller activity may result in permanent payment withholding.

5.8 We may withhold payments to cover:
(a) refunds, chargebacks, penalties
(b) unpaid fees or damages
(c) customer compensation

6. Taxes & Compliance

6.1 Seller must comply with all UAE tax laws including VAT registration (if applicable).
6.2 Prices are exclusive of VAT unless otherwise stated.
6.3 Seller is solely responsible for issuing VAT-compliant invoices if VAT registered.
6.4 Sellers must provide correct HS codes or EGS codes if required for regulatory compliance.
6.5 Tax terms may be updated to reflect UAE FTA changes.
6.6 Seller must comply with anti-money laundering (AML) and anti-bribery laws.
6.7 Seller confirms no involvement in money laundering or illegal financial activity.

7. Term & Termination

7.1 Agreement begins on the registration date and remains active until terminated.
7.2 Seller may terminate their account with 30 days written notice.
7.3 We may suspend or terminate immediately if:

    • you violate policies,
    • engage in fraudulent or illegal behavior,
    • list counterfeit or dangerous parts,
    • harm customers or the platform.

7.4 We will notify you of suspension unless it interferes with fraud or safety investigations.
7.5 Following termination, certain obligations survive (payments, refunds, IP, compliance).
7.6 Deactivation does not cancel any outstanding amounts owed.

8. Intellectual Property

8.1 You grant us a license to use your product images, descriptions, and trademarks for display on the platform.
8.2 You may not use UsedSparePart.com trademarks without written permission.
8.3 Scraping or automated data extraction of the platform is prohibited.
8.4 You confirm that your product listings do not violate third-party IP rights.

9. Disclaimer

9.1 The platform and services are provided “as-is”, without warranties.
